1. Definitions

"Platform" means the IZTTY website (www.iztty.com) and all associated services, features, and tools. "Company" means Futurex Management Solutions Limited, the owner and operator of the Platform. "User" means any individual or entity that registers for or accesses the Platform, including Company Accounts and Consultant Accounts. "Company Account" means an account created by a business entity to manage its own statutory compliance. "Consultant Account" means an account created by a compliance consultant or advisory firm to manage compliance on behalf of multiple clients.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into contracts under the Indian Contract Act, 1872, to use this Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are registering on behalf of a company or entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration and Security

You agree to provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your login credentials. Any activity conducted through your account will be considered your activity. You must not share your login credentials with any unauthorised person. You must notify us immediately at support@iztty.com if you suspect any unauthorised access to your account.

4. Use of the Platform

The Platform is provided for lawful business use only. You agree to use the Platform solely for managing statutory compliance activities. You agree not to use the Platform for any unlawful purpose, upload false or misleading information, attempt to gain unauthorised access, reverse engineer the Platform, or use automated bots to extract data. The Platform is a tool to assist with compliance management. It does not provide legal advice or professional compliance advisory services.

5. User Content and Data

You retain ownership of all content you upload to the Platform. By uploading content, you grant the Company a limited licence to store, process, and display that content solely for the purpose of providing services to you. You are solely responsible for the accuracy, completeness, and legality of all content you upload.

6. Compliance Responsibility

IZTTY is a compliance management tool. It does not guarantee legal compliance, does not act as your statutory agent, and does not represent you before any government authority. The responsibility for actual compliance with all applicable laws rests solely with the User. The Company shall not be liable for any penalty, fine, or adverse regulatory action arising from any failure of the User to comply with applicable laws.

7. Payment and Subscription

Access to certain features of the Platform may require a paid subscription. All fees are exclusive of applicable taxes, including GST. You are responsible for paying all taxes applicable to your use of the Platform.

8. Intellectual Property

All intellectual property rights in the Platform, including its software, design, trademarks, content, and functionality, are owned by the Company. Nothing in these Terms grants you any right, title, or interest in the Company's intellectual property.

9. Limitation of Liability

To the fullest extent permitted under Indian law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of data, profits, or business opportunities; or any loss arising from reliance on information provided by the Platform. The Company's maximum liability for any claim shall not exceed the amount paid by you to the Company in the three months immediately preceding the claim.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of India. In the event of any dispute, the parties shall first attempt resolution through good-faith negotiation within 30 days. Unresolved disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi. The courts of New Delhi shall have exclusive jurisdiction over any matter not subject to arbitration.

11. Amendments

The Company reserves the right to modify these Terms at any time. Changes will be notified by posting the updated Terms on the Platform with a revised Last Updated date. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
